Freeze the client agreement set
Start by listing every file the team expects to govern the work: the MSA, statement of work, proposal, order form, referenced policy, and any amendment already in circulation. Record the filename, sender, received date, and version. Preserve the originals rather than replacing them with a combined summary.
Add a short commercial brief written by the account and delivery owners. It should state what the client is buying, the expected fee structure, the planned start, the intended delivery model, and the person authorized to approve changes. Label that brief as business context so it cannot be mistaken for contract language.

- Inventory every document incorporated by reference.
- Record the client, account owner, delivery owner, and requested signing date.

Build one operating map across the documents
Create a cross-document map for the commitments the team will have to deliver and administer. Useful rows include scope, deliverables, dependencies, milestones, staffing, fees, expenses, invoicing, acceptance, change requests, client responsibilities, intellectual-property treatment, confidentiality, data handling, warranties, term, termination, and any post-termination work.
For each row, capture the relevant source span from every document that addresses it. Leave the cell blank when a document is silent. The map should make the package inspectable, not force the documents into artificial agreement.
- Use short source excerpts with document and section labels.
- Keep deliverables separate from assumptions and dependencies.
- Record payment events alongside the work expected at that stage.
- Mark terms that appear in more than one document for closer review.
Turn mismatches into bounded questions
When two documents describe the same subject differently, resist the urge to pick the language that seems more convenient. Preserve both source passages and explain the operational scenario the difference affects. Counsel can then determine how the documents work together and what change, if any, is appropriate.
A useful question is specific enough to answer: the proposal assumes two revision rounds, while the SOW describes acceptance without that limit; which source language should the delivery team follow, and does the package need to be revised before signature? The question carries the evidence without offering the legal conclusion.

- Describe the delivery or billing scenario affected by the difference.
- Name the business owner who can approve the commercial choice.
- Ask counsel to resolve interpretation and drafting questions.
Compare the package to the firm’s approved playbook
An approved playbook can help the team distinguish familiar client positions from exceptions that need attention. Apply the relevant rule to the resulting commitment, not merely to one isolated sentence. Keep the agreement language, SOW language, playbook expectation, and any approved fallback visible together.
This step is routing, not automatic acceptance. A playbook can identify the company position and escalation path, while account leadership, delivery owners, and counsel retain their respective decisions. Any exception should record its scope, approver, and the document version it addressed.

- Do not carry an exception into a different client package without review.
- Separate legal questions from pricing, staffing, and delivery approvals.
- Preserve uncertainty when the package does not provide enough evidence.

The final handoff should include the frozen document inventory, commercial brief, cross-document operating map, prioritized mismatches, source-backed questions, relevant playbook positions, and the owner of each open decision. That gives counsel a bounded review while leaving the original package intact for verification.
